These Terms of Service (the “Terms”, “Agreement”) govern your access to and use of the websites, products, and services provided by Shopfiles Ltd ("Shopfiles", "we", "us", "our"). By using the Services, you agree to be bound by these Terms.

1. Parties

  1. 1.1. Provider. Shopfiles Ltd provides the websites and related hosting and infrastructure services (the “Services”).
  2. 1.2. Customer. You are the customer, account holder, or authorized user of the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Eligibility and Account

  1. 3.1. You must be of legal age and not barred by applicable law from using the Services.
  2. 3.2. Provide accurate, current registration and billing information and keep it updated.
  3. 3.3. You are responsible for all activity under your account and for maintaining credential confidentiality. Suspected unauthorized use should be reported to [email protected].

4. Acceptable Use

You must use the Services lawfully and responsibly. You are responsible for content and activity under your account. You may not disrupt or degrade the Services or any network or system connected to the Services. See our AUP for details.

5. Prohibited Activities

  • Resource abuse: excessive or malicious consumption of CPU, memory, network, or disk I/O impacting stability.
  • Spam/UBE: unsolicited bulk or commercial email, forged headers, open relays, or using third-party services to send unsolicited messages that reference our infrastructure.
  • Unauthorized access: attempts to access systems, networks, or accounts without permission; bypassing security measures.
  • Unlawful content or conduct: infringement of intellectual property or violation of applicable laws or rights.
  • Circumvention: evading quotas, limits, technical controls, or terms; concealing overuse of resources.
  • Abuse complaints: promptly address third‑party abuse or copyright complaints related to your use; repeated or severe issues may lead to cancellation.

6. Payments and Billing

  • Services are prepaid and billed upon order and at renewal.
  • Supported payment methods are presented at checkout; for alternatives contact [email protected].
  • You are responsible for taxes and third‑party processing fees. If we receive less than the invoiced amount due to fees or exchange rates, we may invoice the difference.
  • Accounts may be suspended after the due date; charges may continue during suspension because resources remain allocated.
  • We honor prepaid terms for their duration. Prices may change prospectively for future terms.

7. Refunds

  • New service window: If you cancel within 15 days of first activation, you may be eligible for a refund or account credit unless excluded elsewhere in these Terms.
  • Crypto payments: If you paid in cryptocurrency (including on‑chain or Lightning), monetary refunds are not available due to rate volatility and network fees. Any approved remediation is issued as non‑withdrawable account credit only.
  • Service disruption: If a disruption is our fault, we may issue a pro‑rated account credit, or for non‑crypto payments a refund, for the affected period.
  • Disputes/chargebacks: Filing a payment dispute may result in termination without refund. Please contact [email protected] first.
  • Method and timing: For non‑crypto payments, approved refunds are processed to the original payment method within 30 calendar days unless otherwise required by law. For crypto payments, approved amounts are applied as account credit.

8. Backups and Data

Your data is your responsibility. Unless you purchase a backup add‑on, we do not guarantee backups. Implement and test your own backup strategy. Restores, if available, are best‑effort and not guaranteed to be complete or current.

9. Availability and Maintenance

  • We target 99.99% infrastructure and network availability per calendar month, excluding scheduled maintenance and events beyond our reasonable control.
  • Scheduled maintenance is announced in advance when feasible and performed to minimize impact.
  • Service credits for availability shortfalls are your sole and exclusive remedy for uptime issues.

10. Support

  • Support channels: email/ticket at [email protected]. Managed support may be available as an add‑on.
  • Scope: unless purchased as managed services, you are responsible for OS, applications, and configurations within your environment.
  • Abusive conduct may lead to warnings, suspension, or termination.

11. Suspension and Termination

  • We may suspend or terminate for AUP/Terms violations, security risks, non‑payment, fraud, or legal compliance.
  • For no‑fault closures, we will provide reasonable advance notice and refund unused prepaid fees.
  • You may cancel at any time via your account tools; deletion may be immediate and irreversible.

12. Disclaimer; Limitation of Liability

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOPFILES LTD AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

13. Legal Process and Disclosure

We may preserve and disclose account information when required by law, valid legal process, or to protect our rights, users, or the public. Where permitted, we will provide notice to the account owner.

14. Indemnification

You agree to defend, indemnify, and hold harmless Shopfiles Ltd and its affiliates, officers, directors, employees, agents, and partners from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your content, your violation of these Terms, or your violation of any law or third‑party right.

15. Changes to Terms

We may update these Terms from time to time. Material changes become effective upon posting unless a later date is stated. Your continued use after changes take effect constitutes acceptance.

16. Governing Law; Disputes

This Agreement is governed by the laws applicable to Shopfiles Ltd’s principal place of business, without regard to conflict‑of‑law rules. The parties consent to the exclusive jurisdiction and venue of the courts located there, unless mandatory law provides otherwise.
